OFFICIAL RULES

NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING. This Sweepstakes is void outside the 50 United States, District of Columbia and where prohibited, taxed or restricted by law. Do not proceed to enter if you are not at least 18 years of age and a legal resident of, and located within, one of the 50 United States, or the District of Columbia, at the time of entry.

The CDW Tech Dreams Sweepstakes sponsored by CDW LLC begins at 12:00am Central Time on 12/1/16 and ends at 11:59:59pm C.T. on 12/31/16 (the “Sweepstakes Period”).

ENTRY: Visit https://www.cdw.com/content/techdreams during the Promotion Period to learn more about the contest. To enter, Tech Dreams Sweepstakes entrants (“Entrants”) will answer the following question on Twitter: “What business tech are you dreaming of?” and include the hashtag #TechDreams and tag the CDW Corporate account handle, @CDWCorp (the “Submission”). Limited one entry per person.

LIMIT: Each Entrant may enter only one time during Promotion Period. No group entries. Any attempt by any person to use multiple/different accounts, email addresses, identities, registrations, logins, or any other methods may result in disqualification by CDW, in its sole discretion. CDW reserves the right to void all entries made through any third-party web site or service, or through any robotic, automatic, mechanical, programmed or similar entry duplication method, and to disqualify any individual using such a web site/ service or entry method, as applicable. Proof of submission of an entry does not constitute proof of receipt of entry by CDW.  Entries may be made by the Entrant only. Entries made by any other individual or any entity, including but not limited to commercial sweepstakes subscription notification and/or entering services, will be declared invalid and disqualified for this Sweepstakes. Tampering with the entry process or the operation of the Sweepstakes is prohibited and any entries deemed by CDW, in its sole discretion, to have been submitted in this manner will be void. In the event a dispute regarding the identity of the individual who actually submitted an entry cannot be resolved to CDW’s satisfaction, the affected entry will be deemed ineligible.

By participating in the Tech Dreams Sweepstakes, each Entrant unconditionally accepts and agrees to comply with and abide by these Official Rules and the decisions of CDW, which shall be final and binding in all matters relating to the Tech Dreams Sweepstakes. This Sweepstakes is subject to all applicable federal, state and local laws and regulations.

In the event of a dispute regarding online entry, entry will be deemed made by the authorized account holder of the e-mail account used to register the Twitter account associated with the entry. The "authorized account holder" is defined as the natural person who is assigned to an e-mail address by an Internet access provider, on-line service provider, or other organization responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. CDW may, at its sole discretion, require any potential prize winner to provide proof that s/he is the authorized account holder. All entries become the sole and exclusive property of CDW and receipt of entries will not be acknowledged. Proof of submission will not be deemed to be proof of receipt by CDW.

ELIGIBILITY: Legal residents of the 50 United States, and the District of Columbia, 18 years of age or older are eligible to enter, except employees, officers and directors of CDW, and of any other organizations affiliated with the sponsorship, fulfillment, administration, prize support, advertisement or promotion of the Tech Dreams Sweepstakes and/or their respective agents, parent companies, affiliates, subsidiaries and members of the immediate families of such employees, officers, or directors. “Immediate family members" shall mean spouse, biological, adoptive or stepparents, grandparents, children, grandchildren, siblings, and each of their respective spouses, regardless of where they reside. "Household members" shall mean people who share the same residence at least three months a year, whether related or not. In addition to the above, employees of federal, state and local governmental entities are not eligible to participate or win a prize in this Sweepstakes.

CONTENT GUIDELINES: Each entry, tweet, post and/or comment submitted in this Sweepstakes will be referred to herein as a “Submission.” Providing a Submission constitutes Entrant’s consent to grant Sponsor a royalty-free, irrevocable, perpetual, non-exclusive license to use, reproduce, modify, publish, create derivative works from, and display such Submission in whole or in part, on a worldwide basis, in perpetuity, and to incorporate it into other works, in any form, media or technology now known or later developed, for any purpose whatsoever, including for promotional or marketing purposes, except where prohibited by law.

By entering the Sweepstakes, each Entrant agrees that Entrant’s Submission conforms to the Submission guidelines and content restrictions as defined below (collectively, the “Guidelines and Restrictions”) and that Sponsor, in its sole discretion, may disqualify an Entrant or a Submission from the Sweepstakes if it believes, in its sole discretion, that the Entrant’s Submission fails to conform to the following Guidelines and Restrictions. 

• The Submission must be posted during the Sweepstakes Period on Twitter and must include the hashtag #TechDreams and tag the CDW Corporate account handle, @CDWCorp
• The Submission must not contain material that is (or promoting activities which are) sexually explicit, obscene, pornographic, violent, self-mutilating (e.g., relating to murder, the sales of weapons, cruelty, abuse, etc.), inappropriate, discriminatory (based on race, sex, religion, natural origin, physical disability, sexual orientation or age), illegal (e.g., underage drinking, substance abuse, computer hacking, etc.), offensive, threatening, profane, unsafe, dangerous, harassing, or endorse any form of hate or hate group; or material that contains any derogatory or defamatory references, misrepresentations or disparaging remarks about any person or entity, including but not limited to CDW or CDW’s products (all as determined in the sole and absolute discretion of CDW);
• The Submission must not contain or transmit any materials that contain software viruses or other computer code, files or programs designed to impair, limit, interfere with or cause harm to any communications network operated by CDW or Twitter, or the computers of any individual or entity participating in or otherwise associated with the Sweepstakes;
• The Submission must not contain any material that violates or infringes any rights of any other party, including but not limited to copyright, trademark, privacy, publicity or any other intellectual property rights;
• The Submission must be Entrant’s own original creation executed solely by Entrant, must NOT include any third-party copyrighted material, photo, media production, or image from films, music, books, television programming, etc. (except for CDW IP (defined below)), or must NOT have won any previous award or been submitted in any other competition or promotion, and must be a previously unpublished and previously un-produced work;
• The Submission must NOT include images of or reference to third-party intellectual property rights, including but not limited to, trademarks, trade names, logos, insignia, or location signage, photographs, videos, artwork, or sculpture except for CDW IP defined below, which may only be used pursuant to the limited license described more fully herein, and solely for the purpose of this Sweepstakes only,
• The Submission must not communicate messages or images inconsistent with the positive images and/or goodwill with which CDW wishes (at CDW’s sole discretion) to associate;
• The Submission cannot advertise or promote any third party brand or product of any kind or contain any personal identification, including, but not limited to: license plate numbers, personal names, email addresses, phone numbers, or street addresses;
• The Submission cannot contain materials embodying the names or other indicia of, or identifying any person, living or dead (other than yourself).
• The Submission must be consistent with the image and values of CDW and be consistent with and satisfy the purpose of the Sweepstakes;
• The Submission cannot be in violation of any applicable federal, state, and/or local laws, rules, and regulations; and
• The Submission must comply with Twitter’s Terms of Service available at https://twitter.com/tos. 

Each Entrant acknowledges that other Entrants may have used ideas and/or concepts in their Submission that may be similar in idea or concept to what is included in Entrant’s Submission. Each Entrant understands and agrees that he/she shall not have any claim against any other Entrant or CDW arising out any such similarity or be entitled to any compensation because of any such similarity. 

CDW grants eligible Entrants a limited, revocable, non-sublicensable license to use only CDW’s trademarks, trade names, logos, insignia, location signage, photographs, videos, artwork, and/or sculptures (collectively, “CDW IP”) provided by CDW in connection with the Sweepstakes for the sole purpose of creating and submitting the Submission for review and assessment in this Sweepstakes. Entrants are not permitted to make any further use of CDW’s IP for any purpose whatsoever.  In addition, Entrants recognize that all right, title, and interest in CDW’s IP as well as any derivative works created using CDW’s IP shall vest exclusively to the CDW, and Entrant agrees that he/she has not and will not take any action that might harm or adversely affect such rights.  No right, title, or interest in and to the CDW’s IP except for the limited license granted to Entrant in these Official Rules is transferred or created.

If Entrant chooses to enter via Twitter by using Entrant’s mobile device, standard data fees may apply.  Entrant should consult Entrant’s wireless service provider's pricing plan for details. Entrant agrees to incur any and all charges demanded by Entrant’s wireless carrier. Entrant should also check Entrant’s device's features for capabilities and check the device manual for specific use instructions.

WINNER SELECTION AND PRIZES: On or about 1/6/2017, CDW will randomly select three winners based on all eligible entries received throughout the entire Promotion Period to award the following prizes:

• One (1) winner will receive a Dell Latitude 7275 tablet
• One (1) winner will receive a Jabra Pro 9470 headset
• One (1) winner will receive an HP Elite x2 1012 convertible tablet

Shipping costs are covered with prize. Specific prize awarded per winner will be determined at random. All features of the prizes will be determined solely by CDW. Odds of winning a prize depend upon the number of eligible entries received.

The total ARV of all prizes in this Sweepstakes: $3,126.97

Each potential winner will be notified by a direct message through Twitter within 10 calendar days of the drawing date. The potential winner must then send a direct message to CDW on Twitter within ten (10) days in order to claim his/her prize.  Each potential winner is subject to verification of eligibility (including proof of identity) and compliance with all terms and conditions set forth in these Official Rules as a condition of receiving a prize. Each winner may, at CDW’s sole discretion, be required to sign and return an Affidavit of Eligibility and Liability/Publicity Release (where permitted by law) within ten (10) days of issuance of documents. The prizes consist only of the items described above. Any other related expenses and costs (if any) not expressly listed above as being included with a prize, is solely the responsibility of the prizewinner.

Prizes are non-transferable and may not be offered for sale or at auction. No prize substitutions or cash redemptions allowed, in whole or in part, except as provided herein. CDW reserves the right to substitute a prize (or portion thereof) of equal or greater value if an advertised prize (or portion thereof) becomes unavailable.

Each winner will be responsible for payment of all federal, state and local income taxes on his/her prize. Any difference between the stated ARV and the actual value of a prize, if any, will not be awarded. All prizes will be awarded provided they are claimed properly in accordance with these Official Rules. Prizes will be shipped approximately thirty (30) days from date of winner verification.

CDW makes no representations or warranties of any kind, express or implied, regarding the prizes. The only applicable warranties provided with the prizes are those warranties which may be provided by the manufacturers. If any prize is defective at time of delivery to winner, winner’s sole remedy will be to address the issue with the manufacturer for return, repair, replacement, refund, or other such remedy as winner and manufacturer may agree upon.

By accepting a prize, each winner consents to CDW’s use of his/her name, voice, statements, photograph, taped or film image, and/or other likeness for advertising, promotion, public relations or trade purposes in commerce and in any media worldwide without limitation or additional compensation or notice, unless prohibited by law.

If any prize is not claimed in accordance with these Official Rules, or if any prize notification is returned as undeliverable, or if any winner refuses or fails to claim or accept his/her prize in accordance with these Official Rules, or if any potential winner is deemed ineligible for any reason, the corresponding prize will be forfeited. If a prize is forfeited, it will be awarded to an alternate winner in a random drawing from among the remaining entries.

The awarding of any prize is contingent upon full compliance with these Official Rules. Entrants understand that CDW is not liable for injuries, losses, or damages of any kind arising from participation in this promotion and acceptance, possession, and use of prize. CDW is not responsible for any typographical or other error in the printing of the offer, administration of the sweepstakes or in the announcement of the prize. Decisions of CDW are final and binding in all respects.

CDW shall have no liability for any potential prize winner notification that is lost, intercepted or not received by any potential prize winner for any reason. If, despite reasonable efforts, any potential prize winner does not respond within ten (10) days of the first notification attempt, or if the prize notification is returned as unclaimed or undeliverable to such potential prize winner, such potential prize winner will forfeit his or her prize and an alternate winner may be selected (time permitting). If any potential prize winner is found to be ineligible, or if he or she has not complied with these Official Rules or declines a prize for any reason prior to award, such potential prize Winner will be disqualified and an alternate Winner may be selected (time permitting).   

PRIVACY: By entering the sweepstakes, you consent to use of your personal information (including your name, mailing address, and email address) by CDW and its authorized agents for the purposes of administering the Tech Dreams Sweepstakes and fulfilling the prizes. Sweepstakes entries may be featured on cdw.com and CDW’s owned social channels.

DISPUTE RESOLUTION: Except where prohibited, by participating Tech Dreams Sweepstakes entrants agree that: All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of Entrants(s) and CDW and its agents shall be governed by and construed exclusively in accordance with the laws of Lake County, IL without giving effect to any principles of conflicts of law of any jurisdiction. Entrant agrees that any action at law or in equity arising out of or relating to this Sweepstakes, or awarding of any prize, shall be filed only in the state or federal courts located in the State of Illinois and entrant hereby consents and submits to the personal jurisdiction of such courts for the purposes of litigating any such action. Except where prohibited, by participating in this Sweepstakes, entrant agrees that: (a) any and all disputes, claims, and causes of action arising out of or connected with this Sweepstakes, or awarding of the prize, shall be resolved individually, without resort to any form of class action; and (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with participating in this Sweepstakes but in no event attorneys' fees; and (c) under no circumstances will any Entrant be permitted to obtain awards for and hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU.

LIABILITY DISCLAIMERS: CDW, Twitter, and each of their respective directors, officers, shareholders, and employees, affiliates, subsidiaries, distributors, and agents, including but not limited to their respective advertising and promotion agencies, and each of their affiliated companies, subsidiaries, licensees, distributors, dealers, sales representatives, retailers, printers, individuals engaged in the development, production or distribution of materials, and any and all other companies associated with the promotion agents, and all of their respective parent companies, subsidiaries, affiliates, agents, franchisees, suppliers, distributors, advertising/promotion agencies, and prize suppliers, and each of their respective parent companies, and each such company’s officers, directors, employees, and agents (collectively, the “Released Parties”), are not responsible for: (i) electronic transmissions or entries that are lost, late, stolen, incomplete, illegible, damaged, garbled, destroyed, misdirected or not received by CDW or its agents for any reason; (ii) any problems or technical malfunctions, errors, omissions, interruptions, deletions, defects, delays in operation or transmission, communication failures or human error that may occur in the transmission, receipt or processing of entries, or for destruction of or unauthorized access to, or alteration of, entries; (iii) failed or unavailable hardware, network or, software transmissions, damage to Entrants’ or any person’s computer or wireless device and/or its contents, or causes beyond CDW’s reasonable control that jeopardize the administration, security, fairness, integrity or proper conduct of the Tech Dreams Sweepstakes; (iv) any entries submitted in a manner that is not expressly allowed under these Official Rules; all such entries will be disqualified; (v) incorrect or inaccurate entry information whether caused by Entrants or by any of the equipment or programming associated with or utilized in the Tech Dreams Sweepstakes; (vi) any typographical or other error in any printing or advertising related to the Tech Dreams Sweepstakes, in the administration or execution of the Tech Dreams Sweepstakes, or in the announcement of the winners; or (vii) cheating or fraud by any Entrant. All incomplete or non-conforming entries will be disqualified.

By participating in this Sweepstakes, each Entrant agrees to indemnify, release, defend and hold harmless CDW, its parent company, affiliates, subsidiaries and agents, and the officers, directors, and employees of each of the foregoing, from and against any and all liability for injuries, losses, or damages of any kind to persons or property arising from or in connection with participation in the Tech Dreams Sweepstakes or the acceptance, possession and/or use/misuse of a prize (if awarded to him/her).

TAMPERING/EARLY TERMINATION: If for any reason this Sweepstakes cannot be executed as planned, including but not limited to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, changes in social media policies, or any other causes beyond the control of CDW that corrupt or affect the security, administration, fairness, integrity or proper conduct of this Sweepstakes, or if this Sweepstakes is compromised or becomes corrupted in any way, electronically or otherwise, CDW reserves the right to terminate this Sweepstakes. If this Sweepstakes is terminated before the original end date of the Promotion Period, CDW will select the winners in a random drawing from among all eligible entries received as of the termination time and date. CDW reserves the right, in its sole discretion, to disqualify and prosecute any individual who tampers with or attempts to tamper with the entry process or any aspect of this Sweepstakes. CAUTION: ANY ATTEMPT BY ANY PERSON TO DELIBERATELY DAMAGE ANY WEB SITE OR OTHERWISE CORRUPT OR UNDERMINE THE LEGITIMATE OPERATION OF THE TECH DREAMS SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, CDW RESERVES THE RIGHT TO DISQUALIFY, PROSECUTE AND SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

GENERAL: The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Sweepstakes-related materials and the terms and conditions of these Official Rules, these Official Rules shall prevail, govern and control.

WINNERS LIST: Winners will be announced via a post on the CDW Twitter account,@CDWCorp, on the Friday following the last day of the promotion period. To request a copy of the Winners List by postal mail, send a self-addressed, stamped envelope to: Tech Dreams Sweepstakes, Eric Petersen, Social@Ogilvy, 350 W Mart Center Dr 11th Fl, Chicago, IL, 60654. Requests must be received by 2/15/17.
